Terms and Conditions for Inspyra

1. Introduction

Welcome to Inspyra, a product of Sinex Innovations ("we," "our," "us," "Sinex Innovations," or "Company"). These Terms and Conditions ("Terms") govern your access to and use of the Inspyra platform, website, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Services.

2. Definitions

"Account" means a unique account created for you to access our Services.
"Content" means any text, data, information, images, audio, video, code, or other materials submitted, generated, or accessed through our Services.
"User" means any individual who accesses or uses our Services.
"Subscription" means the recurring payment plan that grants you access to premium features of our Services.
"Generated Content" means the output created by our AI systems based on your inputs or prompts.

3. Account Registration and Eligibility

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account

You must be at least 18 years old to create an account and use our Services. By creating an account, you represent and warrant that you meet this age requirement.

4. Subscriptions and Payments

4.1 Subscription Plans

4.2 Payment Terms

Subscription fees are billed in advance on a recurring basis according to the billing cycle you select (monthly, annually, etc.)
Payments are non-refundable except as expressly provided in our Refund Policy

Prices are exclusive of all taxes, which will be charged additionally where applicable

4.3 Subscription Changes

You may upgrade or downgrade your subscription at any time
Upgrades will take effect immediately, and you will be charged a prorated amount for the remainder of your billing cycle
Downgrades will take effect at the end of your current billing cycle

4.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before the renewal date. You can cancel your subscription at any time through your account settings.

We reserve the right to adjust our subscription prices at any time. We will notify current subscribers of any price changes before they take effect.

5. Use of Services

5.1 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for your personal or internal business purposes.

5.2 Acceptable Use

Use our Services to generate, upload, or distribute content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable

6.2 Generated Content

You are granted ownership rights to the content generated by our AI systems based on your inputs, subject to the following conditions:

You have a valid subscription or have otherwise paid for the generation of such content
The generated content does not infringe upon third-party rights
Your use complies with these Terms and our Acceptable Use policies

6.3 Responsibility for Content

You are solely responsible for all content you submit to or generate through our Services. We do not claim ownership or endorse any content generated through our Services, and we are not liable for any content generated, submitted, or accessed through our Services.

6.4 Content Monitoring

We do not actively monitor content generated through our Services but reserve the right to review and remove any content that violates these Terms or is otherwise objectionable, without prior notice.

7. Intellectual Property

7.1 Our Intellectual Property

The Services, including all software, algorithms, designs, graphics, and other content created by us, are protected by copyright, trademark, patent, and other intellectual property laws. All rights not expressly granted to you are reserved by Sinex Innovations and its licensors.

THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS
THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
THE RESULTS OF USING THE SERVICES WILL BE ACCURATE OR RELIABLE
THE QUALITY OF THE SERVICES WILL MEET YOUR EXPECTATIONS
ANY ERRORS IN THE SERVICES WILL BE CORRECTED

9.2 AI-Generated Content Disclaimer

You acknowledge that our AI systems:

May produce content that is imperfect, incomplete, or inaccurate
Do not replace professional advice or judgment
May generate similar outputs for different users based on similar inputs
Cannot guarantee originality of outputs

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SINEX INNOVATIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT YOU PAID US TO USE THE SERVICES DURING THE 12 MONTHS BEFORE THE CLAIM AROSE.

10. Indemnification

You agree to defend, indemnify, and hold harmless Sinex Innovations, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from or related to:

Your use of the Services
Your violation of these Terms
Your violation of any third-party rights, including intellectual property rights
Any content submitted, generated, or accessed through your account

11. Term and Termination

11.1 Term

These Terms will remain in effect until terminated by either you or us.

11.2 Termination by You

You may terminate these Terms at any time by:

Canceling your subscription
Deactivating your account
Ceasing use of our Services

11.3 Termination by Us

We may terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason, including:

Breach of these Terms
Violation of applicable laws
Non-payment of fees
Upon request by law enforcement or government agencies
Extended periods of inactivity
Engaging in fraudulent or illegal activities

11.4 Effect of Termination

Upon termination:

Your right to use the Services will immediately cease
You will no longer have access to your account and any content stored therein
Any outstanding payments will become immediately due
Sections of these Terms that by their nature should survive termination will survive

12. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will provide notice through our Services or by other means. Your continued use of the Services after such notice constitutes your acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Kochi Kerala, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or the Services shall be resolved through:

Mediation - If informal negotiation fails, the parties may engage in mediation with a mutually agreed mediator
Binding arbitration - If mediation fails, disputes shall be resolved through binding arbitration under the rules of [Arbitration Association]

13.3 Class Action Waiver

Any proceedings to resolve disputes will be conducted on an individual basis. Neither you nor we will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity.

14. General Provisions

These Terms constitute the entire agreement between you and Sinex Innovations regarding the Services and supersede all prior agreements and understandings.

14.2 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

14.5 Force Majeure

We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, civil unrest, government action, labor disputes, and internet service disruptions.
